TERMS OF SERVICE

These Terms of Service (the “Terms”) form a legal agreement between Tenet Investing Inc. (“Tenet”, “we”, “us” or “our”) and the person who accesses or uses the Services (the “User”, “you” or “your”). These Terms govern the User’s access to and use of tenetinvesting.com website (the “Website”) and the related investment research and analytics tools, content, features and Services made available by Tenet from time to time (collectively, the “Services”).
By creating an Account, starting a trial, purchasing a Subscription, clicking to accept these Terms or otherwise accessing or using the Services, the User acknowledges that the User has read and understood these Terms and agrees to be bound by them, together with the Privacy Policy and any other terms incorporated by reference. If the User does not agree, the User must not access or use the Services.
1. IMPORTANT SECURITIES AND INVESTMENT DISCLAIMER
1.1 RESEARCH AND INFORMATION ONLY.
THE SERVICES ARE PROVIDED FOR SELF-DIRECTED INVESTMENT RESEARCH, INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. TENET IS NOT AN INVESTMENT ADVISER, PORTFOLIO MANAGER, BROKER, DEALER, FINANCIAL PLANNER, TAX ADVISER, LEGAL ADVISER OR FIDUCIARY IN CONNECTION WITH THE SERVICES, AND THE USER’S ACCESS TO OR USE OF THE SERVICES DOES NOT CREATE AN ADVISORY, FIDUCIARY OR OTHER PROFESSIONAL RELATIONSHIP.
1.2 NO RECOMMENDATION, OFFER OR SUITABILITY DETERMINATION. THE SERVICES AND CONTENT DO NOT CONSTITUTE AND SHOULD NOT BE CONSTRUED AS A RECOMMENDATION TO BUY, SELL, HOLD OR OTHERWISE TRANSACT IN ANY SECURITY OR OTHER FINANCIAL INSTRUMENT, A RECOMMENDATION TO FOLLOW ANY INVESTMENT STRATEGY, AN OFFER TO SELL OR SOLICITATION OF AN OFFER TO BUY ANY SECURITY OR FINANCIAL PRODUCT, OR A REPRESENTATION THAT ANY SECURITY, PORTFOLIO, STRATEGY OR TRANSACTION IS SUITABLE OR APPROPRIATE FOR THE USER. TENET DOES NOT ASSESS THE USER’S INVESTMENT OBJECTIVES, FINANCIAL CIRCUMSTANCES, RISK TOLERANCE, TAX POSITION, TIME HORIZON, LIQUIDITY NEEDS OR OTHER CIRCUMSTANCES THAT MAY BE RELEVANT TO AN INVESTMENT DECISION. THE USER IS SOLELY RESPONSIBLE FOR EVALUATING THE MERITS AND RISKS OF ANY INVESTMENT AND FOR DECIDING WHETHER AND HOW TO ACT ON INFORMATION MADE AVAILABLE THROUGH THE SERVICES. PAST PERFORMANCE IS NOT INDICATIVE OF AND DOES NOT GUARANTEE FUTURE RESULTS. THE USER SHOULD CONDUCT INDEPENDENT RESEARCH AND, WHERE APPROPRIATE, CONSULT APPROPRIATELY QUALIFIED INVESTMENT, TAX, LEGAL OR OTHER PROFESSIONAL ADVISERS BEFORE MAKING AN INVESTMENT DECISION.
1.3 Performance Information.
Where the Services display performance information for a screen, Playbook, model portfolio or other methodology, Tenet will identify in the Services or applicable methodology whether the results are live, simulated, hypothetical, or otherwise modelled. Unless expressly stated otherwise, such results do not represent the performance of the User or of an account managed by Tenet. Modelled Results and Projections. Hypothetical, simulated, and modelled results have inherent limitations and may be affected by hindsight, survivorship bias, data availability and modelling assumptions. Projections and scenarios generated from assumptions selected by the User or applied by the Services are illustrative calculations and are not forecasts, targets, promises or expectations of future performance.
2. DEFINITIONS
2.1 “AI Output” means content generated by or with a large language model, machine-learning system or other artificial-intelligence feature made available through the Services, including responses generated by Tenet’s AI-assisted features.
2.2 “Assistant” means third-party software that the User authorizes to access specified portions of the Services through the Connector.
2.3 “Connected Account” means a brokerage or other financial account that the User authorizes to be connected to Tenet through a third-party connectivity provider.
2.4 “Connector” means an interface made available by Tenet through which authorized third-party software may access specified portions of the Services on the User’s behalf, subject to the permissions granted by the User.
2.5 “Content” means all information, data, research, analytics, scores, screens, Playbook results, calculations, charts, reports, explanations, AI Output and other materials made available through the Services, excluding User Data.
2.6 “Playbook” means a Tenet research feature that applies stated criteria, factors or methodologies to securities, including a feature that may reference the published methodology, investment style or approach associated with an investor, author, firm or other third party.
2.7 “Privacy Policy” means Tenet’s privacy policy available at https://tenetinvesting.com/privacy, as updated from time to time in accordance with applicable law.
2.8 “Scope” means a permission granted by the User to an Assistant that determines the categories of information the Assistant may access through the Connector.
2.9 “Subscription” means a paid plan made available by Tenet from time to time.
2.10 “Subscription Term” means the applicable billing period for a paid Subscription, including any renewal period.
2.11 “Term” means the period beginning when the User first accepts these Terms or accesses or uses the Services and continuing until these Terms are terminated in accordance with their terms.
2.12 “User Data” means information submitted by the User to the Services or obtained through a Connected Account at the User’s direction. User Data does not include Content.
3. WHO MAY USE THE SERVICES; ACCOUNTS
3.1 Eligibility.
The User must be at least eighteen (18) years old or the age of majority in the User’s jurisdiction of residence, whichever is higher, and must have legal capacity to enter into these Terms. The Services are not directed to minors.
3.2 Territories.
The Services are currently offered to users in Canada and the United States and are not directed to users in the European Union or the United Kingdom. Tenet may limit the availability of the Services by jurisdiction.
3.3 Account Registration.
Certain features of the Services require an account (an “Account”). The User shall provide accurate, current and complete information when creating and maintaining an Account and shall keep the information associated with the Account current. An Account is for use by one individual unless Tenet expressly permits otherwise. The User shall keep all credentials, access keys and machine credentials confidential, shall not permit another person to use the Account to obtain access to paid or restricted features, and is responsible for activity occurring through the Account. The User shall promptly notify Tenet of any known or suspected unauthorized access.
4. LICENCE; OWNERSHIP; USER DATA
4.1 Limited License.
Subject to these Terms and the User’s payment of any applicable fees, Tenet grants the User, during the Term, a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Services and to access and view the Content made available through the Services, in each case solely for the User’s personal, non-commercial research and informational purposes. The User may download, export or reproduce Content only through functionality expressly made available by Tenet and subject to any restrictions applicable to that Content under these Terms, subject to any additional restrictions applicable to third-party materials under Section 4.10.
4.2 Tenet Intellectual Property.
Tenet and its licensors retain all right, title and interest, including all intellectual property and proprietary rights, in and to the Services and the Content and all underlying or related software, user interfaces, designs, selection and arrangement of content, research compilations, methodologies, scoring systems, algorithms, models, databases, know-how, trademarks, trade names and other proprietary materials. The Services and Content are licensed, not sold, to the User. Except for the limited rights expressly granted under these Terms, no right, title or interest in or to the Services or Content is transferred or granted to the User, whether by implication, estoppel or otherwise, and all rights not expressly granted are reserved by Tenet and its licensors.
4.3 User Data.
As between the User and Tenet, the User retains its rights in the User Data, and Tenet does not claim ownership of User Data, subject to the rights granted to Tenet under Section 4.4 and the Privacy Policy. The User represents and warrants that the User has all rights, permissions and authority necessary to provide or make available User Data to Tenet and to permit Tenet to process User Data as contemplated by these Terms.
4.4 License to Operate the Services.
The User grants Tenet and its service providers a non-exclusive, worldwide, royalty-free right to host, copy, transmit, normalize, parse, transform, analyze and otherwise process User Data solely as reasonably necessary to provide, secure, maintain, support and improve the Services, comply with applicable law, prevent fraud or misuse, and exercise Tenet’s rights under these Terms. This license does not transfer ownership of User Data to Tenet.
4.5 De-Identified and Aggregated Information.
Tenet may create and use usage, analytical and statistical information derived from the Services or User Data where that information has been aggregated or de-identified so that it cannot reasonably be associated with an identifiable User. Tenet may use such information for analytics, security, research, benchmarking and development or improvement of the Services, subject to the Privacy Policy and applicable law.
4.6 AI Training.
Tenet will not use User Data to train an artificial-intelligence model without the User’s express consent. Tenet may use de-identified or aggregated information and technical usage information to evaluate and improve the Services as described in the Privacy Policy.
4.7 Accuracy of User Data.
Tenet does not verify that User Data is complete or accurate. The User is responsible for reviewing information imported, connected or entered by the User and for correcting errors that may affect calculations or outputs.
4.8 Privacy Policy.
Tenet’s collection, use, disclosure, retention and other processing of personal information is described in the Privacy Policy and is subject to applicable privacy law.
4.9 Intellectual Property Complaints.
A person who believes that material available through the Services infringes that person’s intellectual property rights may contact Tenet at hello@tenetinvesting.com and provide sufficient information for Tenet to assess the complaint. Tenet may remove or restrict access to material where Tenet reasonably believes doing so is appropriate or legally required.
4.10 Third-Party Rights and Data.
Certain Content made available through the Services may incorporate, be derived from or otherwise include data, materials, trademarks, investment methodologies or other intellectual property owned or licensed by third parties. All rights in such third-party materials remain with the applicable third party, and Tenet does not grant the User any rights in them except to the extent necessary to access and use the Services and Content as expressly permitted under these Terms. Tenet’s right to make certain third-party materials available may be subject to restrictions imposed by the applicable provider or licensor, including restrictions relating to use, attribution, reproduction, redistribution, export or retention. Where applicable, Tenet may identify such restrictions through the Services or in supplemental terms applicable to the relevant Content, and the User shall comply with any such restrictions that are made available to the User. References to third-party names, trademarks, investment methodologies or other indicia do not grant the User any rights in them and, unless expressly stated otherwise, do not imply any affiliation with, sponsorship of or endorsement of Tenet by the applicable third party. To the extent required by an applicable data license, the relevant data provider may be an express third-party beneficiary of the restrictions and disclaimers that relate to its Content.
4.11 Feedback License.
If the User provides ideas, suggestions, corrections, feature requests, bug reports or other feedback regarding the Services, the User grants Tenet a worldwide, perpetual, irrevocable, transferable, sublicensable and royalty-free right to use and incorporate that feedback for any lawful purpose without restriction or obligation to the User. This Section does not transfer ownership of User Data or authorize Tenet to process personal information other than as described in the Privacy Policy.
5. ACCEPTABLE USE; RESTRICTIONS
5.1 General Restrictions.
The User shall not, and shall not authorize or permit any third party to:
- a) use any robot, spider, crawler, scraper, headless browser, browser automation, data-mining tool, harvesting script or other automated or programmatic method to access, copy, index, monitor or extract any part of the Services or the Content, except through the Connector or another automated interface that Tenet expressly makes available for that purpose and only within the permissions and limits applicable to that interface;
- b) bulk-download, systematically retrieve, cache beyond ordinary personal use, or assemble a database, feed, archive or substitute product from the Content;
- c) frame, mirror, republish, embed, resell, sublicense, rent, redistribute or otherwise make the Services or Content available to another person, except as expressly permitted by these Terms;
- d) use Content to construct or commercialize an index, benchmark, model portfolio product, research product, data product or similar Services, or to train or fine-tune a machine-learning or artificial-intelligence model, except with Tenet’s prior written permission;
- e) reverse engineer, decompile, disassemble or otherwise attempt to derive source code, non-public models, algorithms or technical components of the Services, except to the limited extent a restriction is prohibited by applicable law;
- f) circumvent or attempt to circumvent authentication, plan limits, paywalls, access controls, rate limits, usage quotas, the preview access gate or other technical restrictions, including by using multiple Accounts to evade a limit that is intended to apply to one User or Account;
- g) probe, scan, load-test, overload, disrupt or interfere with the Services or related systems, or attempt to gain unauthorized access to an Account, system or data;
- h) remove, obscure or alter any copyright, trademark, attribution, provenance, freshness, disclosure or other proprietary notice displayed with the Services or Content;
- i) present Content as the User’s own work or in a manner that falsely states or implies that Tenet, a third-party investor, data provider or other person endorses the User, a security or a transaction; or
- j) use the Services for any unlawful purpose, including market manipulation, insider trading, fraud, sanctions evasion or infringement of third-party rights.
5.2 Restricted Information.
The User shall not submit, upload or otherwise provide through the Services any material non-public information concerning an issuer or other information that the User is prohibited by applicable law, contract, confidentiality obligation or other legal duty from disclosing to Tenet.
5.3 Enforcement.
Tenet may use technical measures to enforce the restrictions in this Section and may suspend or restrict access where Tenet reasonably believes that the User has breached these Terms, threatens the security or availability of the Services, or where suspension or restriction is reasonably necessary for Tenet to comply with applicable law or binding third-party licensing requirements.
6. SUBSCRIPTIONS, BILLING AND CANCELLATION
6.1 Plans and Prices.
Tenet currently offers free and paid plans. The features, usage limits, price, billing period and currency applicable to a paid plan are displayed on the pricing or checkout page and are confirmed before the User purchases the Subscription. The pricing information presented at checkout forms part of these Terms for the applicable Subscription.
6.2 Free Trials.
Tenet may offer a free trial of a paid plan. The applicable trial period and conversion terms will be disclosed when the User enrolls. Unless otherwise stated at enrollment, a free trial is available once per Account. If Tenet collects a payment method and states that the trial will automatically convert to a paid Subscription, the User authorizes Tenet or its payment processor to charge the applicable Subscription fee when the trial ends unless the User cancels before the end of the trial period.
6.3 Automatic Renewal.
Each paid Subscription automatically renews for successive Subscription Terms of the same length as the then-current billing period unless the User cancels before the renewal date. The User authorizes Tenet or its payment processor to charge the payment method on file at each renewal for the then-current Subscription fee and applicable taxes
6.4 Cancellation.
The User may cancel a paid Subscription at any time through the billing controls made available in the Account. Cancellation stops future renewals and becomes effective at the end of the then-current paid billing period. The User will retain access to the paid plan until that period ends.
6.5 Failed Payments.
If a renewal or other properly authorized payment fails, Tenet or its payment processor may retry the charge and Tenet may suspend or downgrade access to paid features while the amount remains unpaid. The User remains responsible for properly incurred charges unless Tenet cancels or waives them.
6.6 Refunds.
Except where applicable law requires otherwise, fees already charged are non-refundable and Tenet does not provide refunds or credits for a partially used billing period. Unless the Services expressly state otherwise, a downgrade becomes effective at the start of the next billing period.
6.7 Price Changes.
Tenet may change the price of a paid Subscription from time to time. If Tenet increases the price of an existing Subscription, Tenet will provide the User with at least thirty (30) days’ prior notice. The increased price will take effect on the first renewal occurring after the end of that notice period. If the User does not agree to the price increase, the User may cancel the Subscription before the increased price takes effect.
6.8 Taxes.
The User is responsible for sales, use, value-added, goods and services, harmonized sales and similar taxes that apply to the User’s purchase, other than taxes imposed on Tenet’s income.
7. FINANCIAL ACCOUNT CONNECTIONS
7.1 Connection and Authorization. The Services may permit the User to connect a brokerage or other financial account (a “Connected Account”) through a third-party account-connectivity provider. By connecting a Connected Account, the User authorizes Tenet and its service providers to retrieve and process the account information made available through the connection for the purposes of providing the Services. The User represents and warrants that the User is authorized to connect each Connected Account and to authorize the retrieval and processing of information from that account as contemplated by these Terms.
7.2 Read-Only Access.
Connected Accounts are used for information access only. Tenet does not provide trading, order-entry, money-movement, clearing, settlement or custody functionality through a Connected Account. Authentication is handled through the applicable connection provider.
7.3 Third-Party Connections.
The applicable connection provider and financial institution are third parties and may be subject to their own terms and privacy practices. Tenet does not control their availability, functionality or the accuracy or timeliness of information they provide. The User may disconnect a Connected Account through the functionality made available by Tenet or, where available, through the applicable provider or financial institution.
8. CONNECTOR FOR THIRD-PARTY ASSISTANTS
8.1 Authorization and Scope. Tenet may permit the User to authorize a third-party AI assistant or other compatible Services (an “Assistant”) to access specified information through the Connector. The authorization process will identify the categories of information or permissions being requested (the “Scope”). The Assistant may access information only within the Scope authorized by the User and subject to the functionality, plan and usage limits made available by Tenet. Tenet may provide separate permissions for Content and for User Data or portfolio information, and access to portfolio information will require the applicable authorization from the User.
8.2 Third-Party Assistants.
An Assistant and its operator are third parties selected by the User and are not controlled by Tenet. By authorizing an Assistant, the User instructs Tenet to make the information permitted by the applicable Scope available to that Assistant. Once information has been provided to an Assistant at the User’s direction, the Assistant’s collection, use, storage and onward disclosure of that information are governed by its own terms and privacy practices. The User should authorize only Assistants the User trusts.
8.3 Connector Restrictions.
Use of the Connector remains subject to these Terms, including all restrictions applicable to the Services and Content. The User shall not use, or permit an Assistant to use, the Connector to do indirectly anything the User is prohibited from doing directly under these Terms. Tenet may impose and enforce reasonable technical, rate, usage or plan limits on Connector access and may limit Content made available through the Connector where necessary to comply with applicable third-party licensing restrictions.
9. DISCLAIMERS
9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, CONTENT AND ALL RELATED FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TENET DISCLAIMS ALL IMPLIED WARRANTIES AND CONDITIONS, INCLUDING MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. TENET DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR AVAILABLE AT ANY PARTICULAR TIME. MAINTENANCE, OUTAGES, INTERNET FAILURES, DATA-PROVIDER FAILURES, BROKERAGE CONNECTION FAILURES, CLOUD-SERVICES FAILURES AND OTHER EVENTS MAY AFFECT AVAILABILITY OR TIMELINESS.
9.2 Accuracy, Data Quality and Results.
Without limiting the foregoing, Tenet does not warrant that the Services or Content will be accurate, complete, current, timely, uninterrupted, secure or error-free; that defects will be corrected; that alerts will be delivered or delivered at a useful time; or that use of the Services will produce any particular financial or investment result. Financial and market information included in the Content may be real-time, delayed, end-of-day, estimated, restated or otherwise subject to timing, source or quality limitations.
9.3 Third-Party Materials and Services.
Tenet does not make any representation or warranty on behalf of any data provider, brokerage connection provider, payment processor, AI provider or other third party. Third-party materials, advertisements, products and services may be subject to separate terms, limitations and disclaimers.
9.4 AI Features and Output.
Tenet may use third-party artificial-intelligence or cloud service providers to operate AI-assisted features. Tenet’s processing of User Data and personal information in connection with those features is described in the Privacy Policy. AI Output may be inaccurate, incomplete, misleading, inconsistent or out of date, even where the underlying information is accurate, and may misstate sources, calculations or relationships. Unless expressly stated otherwise, AI Output is generated automatically and is not reviewed or approved by a person before being displayed. The User is responsible for evaluating and verifying material information before relying on AI Output. AI Output is subject to the investment and professional-advice disclaimers set out in Section 1.
9.5 Playbooks.
A Playbook reflects Tenet’s interpretation or implementation of stated criteria, factors, investment styles or methodologies. Unless expressly stated otherwise, a Playbook is not an actual portfolio managed by, for or on behalf of any referenced investor, author, firm or other person and may differ materially from that person’s or entity’s actual or current holdings, views, investment process, timing, portfolio construction or risk-management practices. Playbooks may be based on public information that is incomplete, delayed, subject to interpretation or no longer current.
9.6 Beta Features.
Beta features are provided for evaluation and may be incomplete, contain additional errors, change materially or be discontinued at any time. Tenet may impose additional limitations on such features and may restrict them to selected users or Accounts.
9.7 Advertising.
The Services may display third-party advertising and the availability of advertising may depend on the applicable plan. An advertisement is not Content, is not research prepared by Tenet, and is not a recommendation or an endorsement by Tenet of the advertiser or any security, financial product, service or other offering. Tenet may receive compensation in connection with advertisements displayed through the Services. Tenet does not use User Data or information associated with the User’s Account or Connected Account to select or personalize advertisements and does not make such information available to advertising providers for advertising purposes. Third-party advertising providers may collect information directly from the User’s browser or device in connection with the delivery of advertisements, as further described in the Privacy Policy. Advertisers are responsible for their advertisements and for the products and services they offer. Any interaction or transaction between the User and an advertiser is solely between the User and that advertiser and may be subject to the advertiser’s own terms and privacy practices. To the maximum extent permitted by applicable law, Tenet is not responsible for any loss or claim arising from the User’s dealings with an advertiser or reliance on an advertisement. Advertising arrangements do not affect the methodologies or results used by Tenet to generate Content or Playbooks.
10. LIMITATION OF LIABILITY; INDEMNITY
10.1 Excluded Losses.
To the maximum extent permitted by applicable law, Tenet and its directors, officers, employees, contractors, affiliates, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, aggravated or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill or data, arising out of or relating to the Services or these Terms, regardless of the theory of liability and even if advised of the possibility of such damages. Without limiting the foregoing, Tenet will not be liable for trading or investment losses, losses caused by market movements, missed investment opportunities, or decisions made or not made in reliance on the Services or Content, including AI Output.
10.2 Aggregate Liability Cap.
To the maximum extent permitted by applicable law, the aggregate liability of Tenet and the persons identified in Section 10.1 for all claims arising out of or relating to the Services or these Terms will not exceed the greater of: (a) the fees paid by the User to Tenet for the Services during the six (6) months immediately preceding the event giving rise to the claim; and (b) US$100.
10.3 User Indemnity.
To the maximum extent permitted by applicable law, the User shall indemnify and hold harmless Tenet and its directors, officers, employees, contractors and affiliates from third-party claims, damages, liabilities, penalties, costs and reasonable legal fees arising from: (a) the User’s unlawful or unauthorized use of the Services; (b) the User’s material breach of Sections 4, 5, 7 or 8; (c) User Data that infringes or violates a third party’s rights; or (d) the User’s fraud, wilful misconduct or violation of applicable law. This Section does not require the User to indemnify Tenet for losses caused by Tenet’s own fraud, willful misconduct or liability that cannot lawfully be shifted to the User.
10.4 Consumer Rights.
Nothing in these Terms limits or excludes any right or remedy that the User has under applicable consumer-protection law and that cannot lawfully be waived or limited by contract.
11. SUSPENSION; TERMINATION; ACCOUNT DELETION
11.1 User Termination.
The User may stop using the Services at any time, cancel a Subscription as described in Section 6 and delete the Account using the functionality Tenet makes available.
11.2 Suspension or Termination by Tenet.
Tenet may suspend, restrict or terminate access to the Services or an individual feature if: (a) the User materially breaches these Terms; (b) Tenet reasonably believes suspension is necessary to protect the security, availability or integrity of the Services or another user; (c) suspension is required by applicable law, a court or regulator, or a third-party licence; (d) fees properly due remain unpaid; or (e) Tenet discontinues the Services.
11.3 Termination Without Cause.
If Tenet terminates a paid Subscription for convenience and not because of the User’s breach or non-payment, Tenet will provide a pro-rated refund of prepaid fees attributable to the unused portion of the then-current paid billing period, except where another remedy is required or permitted by applicable law.
11.4 Effect of Termination.
When access ends, the licences and rights granted to the User under these Terms end. Connector credentials and authorizations may be revoked and Connected Accounts may be disconnected. Tenet may retain or delete User Data in accordance with the Privacy Policy, legal obligations and ordinary backup practices.
11.5 Survival.
Any provision that by its nature should survive termination of these Terms will survive, including provisions relating to intellectual property, rights in User Data, restrictions on use, disclaimers, limitation of liability, indemnity, governing law and the general terms.
12. CHANGES TO THESE TERMS
12.1 Updates and Changes to the Service.
Tenet may add, modify, replace, restrict or discontinue features, Content, data sources or integrations from time to time, including where reasonably necessary because of changes to third-party services, licensing requirements, applicable law, security requirements or technical constraints. If a change materially reduces the core functionality of a paid Subscription during a prepaid billing period, Tenet will comply with any notice, cancellation, refund or other remedy required by applicable law. Tenet may also update these Terms from time to time. Tenet will update the “Last Updated” date and, where a change materially affects the User’s rights or obligations, will provide reasonable advance notice through the Service, by email or by another reasonable method, except where an earlier change is reasonably required by applicable law, security concerns or a third-party obligation.
12.2 Acceptance of Updated Terms.
Updated Terms apply prospectively from their stated effective date. Continued use of the Services after that date constitutes acceptance of the updated Terms to the extent permitted by applicable law. Where applicable law requires affirmative consent to a change, Tenet may require the User to accept the updated Terms before continuing to use the Services. Changes to Subscription pricing are governed by Section 6.7 and changes to Tenet’s processing of personal information are governed by the Privacy Policy and applicable law.
13. GOVERNING LAW; DISPUTES
13.1 Governing Law.
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules, except to the extent mandatory laws of the User’s jurisdiction apply and cannot lawfully be waived.
13.2 Jurisdiction.
Subject to any non-waivable right the User has under applicable law to bring a claim in another forum, the courts located in Toronto, Ontario have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and the User and Tenet attorn to the jurisdiction of those courts.
14. GENERAL
14.1 Compliance with Law.
The User shall comply with applicable law in connection with the Services, including applicable securities, sanctions and export-control laws. The User shall not use the Services for the benefit of a person or in a jurisdiction where doing so would be prohibited by applicable law.
14.2 Force Majeure.
Tenet is not liable for delay or failure to perform caused by events beyond its reasonable control, including internet or telecommunications failures, cloud or data-provider outages, failures of third-party financial institutions or connection providers, labour disputes, natural disasters, war, civil unrest, governmental action, epidemics or widespread cyberattacks, except to the extent the event results from Tenet’s failure to use the standard of care required by applicable law.
14.3 Assignment.
The User may not assign or transfer these Terms or the Account without Tenet’s prior written consent. Tenet may assign these Terms to an affiliate or in connection with a merger, reorganization, financing, sale of assets, sale of the business or other corporate transaction, provided that the assignment does not reduce any non-waivable consumer rights.
14.4 Notices.
Tenet may provide notices under these Terms by email to the address associated with the Account, through the Services or by another method permitted by applicable law. The User is responsible for keeping Account contact information current. Legal notices to Tenet may be sent to hello@tenetinvesting.com and to the mailing address in Section 15. The User consents to receive agreements, notices, disclosures and other communications electronically to the extent permitted by applicable law.
14.5 Entire Agreement.
These Terms, the Privacy Policy, the accessibility statement published at tenetinvesting.com/accessibility, the terms displayed at purchase for the applicable Subscription and any other terms expressly incorporated by reference constitute the entire agreement between the User and Tenet regarding the Services and supersede prior or contemporaneous understandings on that subject.
14.6 Severability.
If any provision of these Terms is held unenforceable, the provision will be enforced to the maximum extent permitted and the remaining provisions remain in effect, unless applicable law requires a different result.
14.7 Waiver.
A failure or delay by Tenet to exercise a right under these Terms does not waive that right. A waiver is effective only if made in writing by Tenet.
14.8 Relationship.
Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary, advisory or franchise relationship between the User and Tenet.
14.9 Third-Party Beneficiaries.
Except for Tenet’s licensors and service providers to the extent a provision expressly or necessarily benefits them, these Terms do not create rights in any third party.
